1. Acceptance of Terms
Welcome to REGEX CRM. By accessing or using our customer relationship management platform for real estate wholesalers (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms constitute a legally binding agreement between you and REGEX CRM ("Company," "we," "us," or "our"). We may modify these Terms at any time, and your continued use of the Service constitutes acceptance of any modifications.
2. Description of Service
REGEX CRM is a software-as-a-service (SaaS) platform designed to help real estate wholesalers manage their business operations, including:
- Lead and seller pipeline management
- Cash buyer database and relationship management
- Property tracking and deal analysis
- Document management and storage
- Task and calendar management
- Communication templates and tracking
- Business analytics and reporting
3. Account Registration
3.1 Account Creation
To use our Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Eligibility
You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements.
3.3 Account Security
You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4. Subscription and Billing
4.1 Subscription Plans
We offer various subscription plans with different features and pricing. Details of our current plans are available on our website. We reserve the right to modify pricing and features with reasonable notice.
4.2 Free Trial
We may offer a free trial period for new users. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.
4.3 Payment
By subscribing to a paid plan, you authorize us to charge your payment method for the subscription fees. All payments are processed securely through Stripe. You are responsible for providing accurate payment information.
4.4 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
4.5 Refunds
Subscription fees are generally non-refundable except as required by law or at our sole discretion. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.
5. Acceptable Use
5.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for legitimate real estate business purposes.
5.2 Prohibited Activities
You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Service for fraudulent, deceptive, or illegal activities
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any aspect of the Service

- Resell, sublicense, or redistribute the Service without authorization
- Harvest or collect user information without consent

6. User Content

The Service, including its design, features, functionality, and content (excluding User Content), is owned by REGEX CRM and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.

REGEX, the REGEX logo, and other marks are trademarks of REGEX CRM. You may not use our trademarks without our prior written consent.
8. Privacy
Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.
9. Third-Party Services
The Service may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is subject to their respective terms and conditions.
10. Disclaimers
10.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 No Guarantee
We do not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee any specific results from using the Service.
10.3 Real Estate Disclaimer
REGEX CRM is a software tool and does not provide legal, financial, or real estate advice. Any deal calculations, property valuations, or business analytics provided by the Service are for informational purposes only. You should consult qualified professionals for advice specific to your situation.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REGEX CRM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless REGEX CRM and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights.
13. Termination
13.1 Termination by You
You may terminate your account at any time by canceling your subscription and contacting us to delete your account. Termination does not entitle you to a refund of any prepaid fees.
13.2 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms. We will make reasonable efforts to notify you before termination, except where prohibited by law or where immediate action is required.
13.3 Effect of Termination
Upon termination, your right to use the Service immediately ceases. We may delete your User Content after a reasonable retention period. Provisions that by their nature should survive termination will survive.
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us first to attempt to resolve the dispute informally.
14.2 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
14.3 Arbitration
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and REGEX CRM regarding the Service.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
15.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at any time.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Service or sending you an email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
